1. Acceptance of Terms

By accessing or using NightlifePro ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users, including guests, venue managers, promoters, and administrators.

2. Description of Service

NightlifePro is a nightlife reservation and ticketing platform that enables users to book VIP tables and purchase General Admission (GA) tickets at participating nightlife venues in New York City. The Platform facilitates transactions between guests and venues, acting as an intermediary for booking management and payment processing.

3. Booking & Deposit Terms

3.1 Table Reservations

When you book a VIP table through NightlifePro, you are required to pay a non-refundable deposit at the time of booking. This deposit secures your table reservation for the selected date and venue. The deposit amount varies by table, section, and venue, and is clearly displayed before you confirm your booking.

3.2 Non-Refundable Deposit

All deposits are non-refundable. By completing a booking, you acknowledge and agree that the deposit amount will not be returned under any circumstances, including but not limited to: cancellation by the guest, no-show, change of plans, or dissatisfaction with the venue. The deposit is applied toward your minimum spend for the evening.

3.3 Card on File & Final Charge

By booking a table, you authorize NightlifePro and the venue to keep your payment method on file. After the night is over, the venue will process the final charge for the total amount spent during your visit (food, drinks, bottle service, etc.), minus the deposit already paid. The final charge will be processed to the same payment method used for the deposit. You agree to pay the full amount of your tab as presented by the venue.

3.4 Minimum Spend Requirements

Each table has a minimum spend requirement that is clearly displayed at the time of booking. The deposit counts toward the minimum spend. If your total spend does not meet the minimum, the venue reserves the right to charge the difference to your card on file.

4. General Admission (GA) Tickets

GA ticket purchases are processed immediately through our payment provider (Stripe). GA ticket prices are set by NightlifePro and may vary by event, date, and demand. Once purchased, GA tickets are subject to the Refund Policy outlined separately. Each GA ticket includes a unique confirmation code that must be presented at the venue entrance for admission.

5. Revenue Split & Platform Fees

NightlifePro operates on a revenue-sharing model with participating venues. For every transaction processed through the Platform:

  • 90% of the transaction amount goes to the venue partner.
  • 10% of the transaction amount is retained by NightlifePro as a platform fee.

This applies to all deposits, final charges, and GA ticket purchases. The platform fee is automatically deducted from each transaction. NightlifePro also retains 10% of all non-refundable deposits.

6. Venue Partner Obligations

Venue partners who register on NightlifePro agree to the Venue Partner Agreement, which includes the 90/10 revenue split, adherence to Platform policies, accurate representation of their venue and services, and timely processing of final charges after each event night. Venue partners must accept the Venue Partner Agreement upon first login to their venue management portal.

7. User Accounts

You must create an account to make bookings or purchase tickets. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account and keep it updated.

8. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Platform; (c) interfere with the proper working of the Platform; (d) make fraudulent bookings or purchases; (e) resell or transfer tickets or reservations without authorization; (f) impersonate any person or entity; (g) use automated systems to access the Platform without our express written permission.

9. Limitation of Liability

NightlifePro acts as an intermediary between guests and venues. We are not responsible for the quality of service provided by venues, including but not limited to: food and beverage quality, staff conduct, venue conditions, or any incidents that occur at the venue. Our liability is limited to the platform fees collected. We do not guarantee availability of tables or tickets, and venues reserve the right to modify their offerings at any time.

10. Dispute Resolution

Any disputes arising from the use of NightlifePro shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, New York. You agree to waive your right to a jury trial and to participate in class action lawsuits.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms. We will make reasonable efforts to notify users of material changes.
